Junior Corporate Law Clerk & Legal Administrative Assistant

SkyLaw is looking for (1) a full-time Junior Law Clerk and (2) a full-time Legal Administrative Assistant to join our growing corporate services department.

Who are we looking for?

We are looking for new team members with the following qualifications to join our corporate services department:

Corporate Law Clerk Qualifications

  • 1-2 years (minimum) experience as a law clerk;
  • Diploma from a recognized Ontario law clerk program certified with The Institute of Law Clerks of Ontario (or equivalent);
  • Lots of enthusiasm and a strong work ethic;
  • Good judgment and an ability to learn quickly;
  • Highly detail-oriented with excellent organizational skills;
  • Ability to work independently and be proactive;
  • Excellent communication skills, both verbal and written;
  • Ability to prioritize, multitask and achieve deadlines in a fast-paced environment;
  • Proficient computer skills including with respect to Microsoft Office;
  • Can handle confidential information with the highest degree of integrity;
  • Previous experience in a law firm setting is required; and
  • Relevant experience in a law firm is preferred but not required.

Legal Administrative Assistant Qualifications

  • 2-3 years (minimum) experience as a legal administrative assistant or law clerk;
  • Lots of enthusiasm and a strong work ethic;
  • Good judgment and an ability to learn quickly;
  • Highly detail oriented with excellent organizational skills;
  • Ability to work independently and be proactive;
  • Excellent communication skills, both verbal and written;
  • Ability to prioritize, multitask and achieve deadlines in a fast-paced environment;
  • Proficient computer skills including with respect to Microsoft Office;
  • Can handle confidential information with the highest degree of integrity; and
  • A college diploma in a related field or a university degree in any field.

What are the responsibilities?

You will mainly be working with SkyLaw’s law clerks in our corporate services department.  We expect the responsibilities to vary and evolve with time but initially we anticipate the job to, at a minimum, entail the following:

Junior Law Clerk Responsibilities

  • Maintain corporate and partnership records, minute books, share registers, etc. for Canadian and foreign corporate and partnership entities;
  • Draft and prepare various corporate forms and documentation such as annual returns and shareholder and board resolutions;
  • Manage annual minute book maintenance/filings and perform minute book reviews;
  • Assist on corporate transactions such as asset/share sales and corporate reorganizations, including but not limited to assisting with due diligence and corporate searches, preparing ancillary documents and post-closing documents;
  • Incorporate and dissolve Ontario and Federal companies;
  • Assist with Ontario limited partnership formations and continuing maintenance; and
  • Additional duties as assigned.

Legal Administrative Assistant Responsibilities

  • Assisting law clerks by preparing basic documents and other correspondence relating to corporate minute book maintenance;
  • Working with the law clerks to maintain corporate records, minute books, share registers, etc. for Canadian and foreign corporate entities;
  • Working with the law clerks to prepare mandatory returns for all corporate entities;
  • Clerical duties including data entry, printing, binding, copying, scanning and filing documents;
  • Administration and reception duties including sending meeting invites, opening and scanning client mail received, greeting clients and attending to their needs when required; and
  • Additional duties as assigned.
